Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the website at audrim.ph and any services provided by Audrim Digital Marketing Services ("ADMS," "we," "us," or "our"), a DTI-registered business based in Cebu, Philippines. By accessing our website, creating an account, or engaging our services, you agree to these Terms.

Services

ADMS provides web design, digital marketing, and related digital services to businesses in the Philippines. Specific deliverables, timelines, and fees for client projects are defined in separate project agreements or proposals. In cases of conflict between those documents and these Terms, the project agreement takes precedence.

We also offer subscription-based software tools, currently including Crawlr and PadBoard, accessible through the client portal at audrim.ph/dashboard. Subscriptions are billed as described at the time of purchase and grant access for the specified period.

Client portal accounts

To access the client portal, you must register with a valid email address. You are responsible for maintaining the security of your account and password. You must notify us immediately at hello@audrim.ph if you suspect unauthorized access to your account. We are not liable for any loss or damage resulting from your failure to keep your credentials secure.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or abusive purposes.

Payments

Payments for subscriptions and services are processed through PayMongo. All amounts are in Philippine Pesos (PHP) unless stated otherwise. Payments are non-refundable except where required by Philippine consumer protection law or as explicitly stated in a written project agreement. If a payment fails, access to paid features may be suspended until the outstanding balance is settled.

Intellectual property

Upon receipt of full payment for a web design project, you receive ownership of the final deliverables (website files, copy, and graphics created for your project). We retain the right to display the project in our portfolio unless you request otherwise in writing.

The ADMS brand, website design, software tools, and any proprietary systems remain the exclusive property of Audrim Digital Marketing Services. You may not reproduce, copy, or redistribute any part of our website or tools without written permission.

Third-party tools and services

Our services may integrate with or recommend third-party platforms such as Google, Meta, PayMongo, and others. We are not responsible for the practices, availability, or content of those third parties. Use of any third-party service is subject to that provider's own terms and privacy policy.

Disclaimer of warranties

Our website and tools are provided on an "as is" basis. We make no warranty that services will be uninterrupted, error-free, or free of security vulnerabilities. We do not guarantee specific business results from any website, campaign, or digital marketing service we provide, as outcomes depend on many factors outside our control.

Limitation of liability

To the extent permitted by Philippine law, ADMS shall not be liable for any indirect, incidental, or consequential damages arising from your use of our website, tools, or services. Our total liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.

Governing law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved under Philippine jurisdiction.

Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted to this page. Continued use of our services after changes are posted constitutes acceptance of the updated Terms. We will update the date at the top of this page when changes are made.
